Merchant Terms of Service
Last updated 11 October 2026
These terms are between each canteen that uses VenueBites and Venushub CY LTD (Geranon 1, 7040 Larnaca, Cyprus; registration number HE442414, VAT number CY60003025H). A manager accepts them on the company's behalf in the VenueBites console, where the company's commission rate is shown; the time, the accepting user, the version and that rate are recorded with the company. The Data Processing Agreement is accepted the same way.
Effective Date: October 11, 2026. Operator: Venushub CY LTD (“Venushub”, “we”, “us”, “our”). Merchant: the canteen vendor executing onboarding (“Canteen”, “Merchant”, “you”).
1. Scope and Platform Services
1.1 Platform Provision: Venushub grants the Canteen access to the VenueBites software platform to manage digital menus, ingest customer orders, generate kitchen tickets, and communicate order statuses to venue attendees (“Fans”).
1.2 Merchant of Record: The Canteen is the sole merchant of record for all food, beverages, and merchandise sold to Fans. The Canteen contracts directly with the Fan for each transaction.
2. Commission Structure & Service Fees
2.1 Platform Commission: Venushub charges a commission on every completed order processed through the VenueBites platform at the commission rate shown on your acceptance page and in your console (a percentage of the order value plus a fixed amount per order, set by Venushub; special rates per venue or canteen are shown there too), plus applicable VAT.
2.2 Payment Gateway Fees: Direct payment gateway processing fees charged by third-party providers (Stripe, JCC, Viva Wallet, Revolut) are borne directly by the Canteen via its respective merchant account or deducted at settlement where applicable.
2.3 Billing & Direct Debit Mandate: The Canteen authorizes Venushub to automatically collect accumulated platform commissions and service fees via the card-on-file or SEPA Direct Debit mandate registered in the Canteen's billing settings.
3. Settlements and Payouts
3.1 Fund Collection: Fan payments flow directly into the Canteen's dedicated payment gateway account (or are settled via the Canteen's merchant processor). Venushub does not hold customer funds for canteen settlements.
3.2 Payout Execution: The Canteen is solely responsible for reconciling its gateway payouts, the bank account in its payout details, and daily settlements.
4. Canteen Operational Obligations
4.1 Legal Compliance & Seller Identity: The Canteen warrants that its legal name, VAT number, and registered address (as entered in its company profile) are accurate and will be displayed publicly on receipts and checkout screens pursuant to legal seller identification requirements.
4.2 Menu & Alcohol Compliance: The Canteen is strictly responsible for managing accurate menu descriptions, allergen declarations, and enforcing mandatory age-verification checks (18+) for all alcohol sales.
4.3 Order Fulfilment & Rejections: The Canteen agrees to monitor the staff dashboard promptly, accepting or rejecting orders in real-time. Unjustified mass rejections or failure to honour accepted orders may result in suspension of platform access.
5. Term, Suspension, and Termination
5.1 Term: This Agreement remains in effect for as long as the Canteen maintains an active account on the VenueBites platform.
5.2 Termination: Either party may terminate this Agreement with 14 days' written notice. Venushub may suspend or terminate access immediately in cases of material breach, legal non-compliance, or fraudulent activity.
6. Governing Law
6.1 This Agreement is governed by the laws of the Republic of Cyprus. Any disputes shall be subject to the exclusive jurisdiction of the courts of Nicosia, Cyprus.
